These Terms of Service ("Terms") govern access to and use of the Cardonexus platform, including the Telephone Banker, Text Banker, AI Banker, Mobile SDK, Agent Desktop, and Web/API channels (the "Platform"), by financial institutions and their authorized users ("Customer," "you"). By accessing or using the Platform, you agree to these Terms.
Cardonexus provides a single execution engine and banking-agnostic core framework that connects customer-facing channels to Customer's core banking system(s) through Cardonexus adapters. Cardonexus does not replace Customer's core banking system and is not itself a bank.
Cardonexus maintains security controls described in our Privacy Policy and applicable order form, including authentication, authorization, encryption, PCI DSS-aligned practices, and audit logging. Specific compliance commitments (SOC 2, PCI attestation, etc.) are set out in the applicable order form or master services agreement.
Program name: Cardonexus Text Banker™ — Transactional SMS Banking.
Description: Text Banker delivers secure, customer-requested transactional SMS communications on behalf of participating financial institutions, including one-time passcodes, PIN change confirmations, fraud alerts, security notifications, deposit notifications, low balance alerts, and other customer-enabled account notifications. No marketing or promotional messages are sent through this program.
Message frequency: Message frequency varies depending on customer activity, customer-selected alert preferences, and security or authentication events.
Message and data rates: Message and data rates may apply according to your wireless carrier.
Support: Questions regarding SMS Banking may be directed to support@cardonexus.com.
Opt-out: Reply STOP at any time to stop receiving SMS messages. Reply HELP for assistance.
Service levels, uptime commitments, and support terms are defined in the applicable order form or service level agreement between Cardonexus and Customer, not in these Terms alone.
Fees, billing cycles, and payment terms are set out in the applicable order form. Fees are non-refundable except as expressly stated in that order form.
Cardonexus retains all rights in the Platform, including the Interaction Engine, Core Banking Framework, and adapters. Customer retains all rights in its own data and configuration.
Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms and any related order form.
To the maximum extent permitted by law, neither party's liability arising out of these Terms will exceed the amounts paid by Customer to Cardonexus in the twelve months preceding the claim, except for liability arising from confidentiality breaches, data protection obligations, or indemnification.
Either party may terminate as set out in the applicable order form. Upon termination, Cardonexus will make Customer data available for export for a reasonable transition period, as further described in the order form.
We may update these Terms from time to time. Material changes to an active agreement will be handled under the change process in the applicable order form or master services agreement.
